Terms of Service

Welcome to Verd. These Terms of Service ("Terms") govern your access to and use of the Verd website, tools, and related services (collectively, the "Services") provided by Verd Health LLC, a Nevada limited liability company ("Verd," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Nature of Services

Verd provides educational information and software tools. Using publicly available data, the information you give us, and our own models, it estimates what different kinds of health plans may cost you, ranks them, and offers year-round tools for managing healthcare costs.

Important: Verd is an educational and informational service only. We are not a licensed insurance broker, agent, producer, or consultant, and we are not an insurance carrier. We do not sell, solicit, negotiate, bind, or administer insurance policies, and we receive no compensation from insurers.

Verd does not determine your eligibility for any plan or program, and does not guarantee enrollment, premiums, subsidies, provider networks, drug formularies, or coverage decisions. Those are decided by the Marketplace, the insurer, your employer, or the government program. All enrollment decisions rest with you. Before you enroll, confirm plan details and eligibility with the source: HealthCare.gov or your state marketplace, Medicare.gov, the insurer, or your employer's benefits office.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

The Services are intended for people in the United States and are provided from the United States. They are built around U.S. health insurance programs and are not intended for use elsewhere.

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately through our contact form if you become aware of any unauthorized use of your account.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use automated means (bots, scrapers, etc.) to access the Services without our prior written consent.
• Reproduce, distribute, or create derivative works from any content on the Services without our express permission.
• Provide false or misleading information in your health profile or account.
• Use the Services to provide professional insurance advice or consulting to third parties.

5. Not Professional Advice

The estimates, rankings, and other information provided by Verd are based on the information you provide and on publicly available data. They are intended for educational and informational purposes only and should not be considered professional insurance advice, financial advice, tax advice, legal advice, or medical advice.

You acknowledge that:

• Our cost projections are estimates based on statistical models and may not reflect your actual healthcare spending.
• Insurance plan details, premiums, and benefits may change and should be verified directly with the insurance carrier, Medicare.gov, HealthCare.gov, or your state marketplace before making enrollment decisions.
• Subsidy and tax credit estimates are approximations and are not a substitute for professional tax advice.
• You are solely responsible for your insurance enrollment decisions.
• Verd does not guarantee any specific cost savings or outcomes.

6. AI Features

Some features, including the Assistant, the Bill Checker, and the Appeal Letter Helper, use artificial intelligence to generate responses automatically.

• AI output may be inaccurate or incomplete. It is not legal, medical, tax, or insurance advice, and no licensed professional reviews it.
• You are responsible for reviewing anything an AI feature produces before you rely on it or send it to anyone. An appeal letter is a draft for you to review and complete; a bill review flags possible issues for you to check with your provider or insurer.
• What you type or upload in these features is processed by our third-party AI provider, as described in our Privacy Policy.
• Do not try to extract the features' instructions or system prompts, get around usage limits or safeguards, use them to create unlawful content, or submit another person's information without their permission.

7. Subscription & Billing

Free Tier

Our free tier provides a personalized comparison of estimated plan costs at no charge. It requires a free account, and no payment information is required to use it.

Pro Subscription

Verd Pro is a paid subscription priced at $19.99 per month, billed monthly through Stripe, our payment processor, until you cancel. By subscribing to Verd Pro, you authorize recurring monthly charges to your payment method at that price, plus any applicable taxes.

• Subscriptions are billed on a monthly recurring basis via Stripe.
• Taxes: prices do not include any sales or similar taxes that may apply. If tax applies, it is shown at checkout.
• Promotion codes: if we offer one, it applies as shown at checkout, for the amount and period stated there.
• Free trials: there is no free trial. If we ever offer one, the trial terms shown at checkout, including the date of your first charge, apply.
• You may cancel at any time using the Billing button in your dashboard, which opens the Stripe customer portal. Cancellation takes effect at the end of the current billing period, and you will not be charged again after that.
• Failed payments: if a renewal payment fails, you keep Pro for up to 7 days past the end of the period you paid for while your card is retried; after that, Pro is paused until the payment goes through or the subscription ends. If your first payment fails, Pro does not start.
• Disputes: a chargeback or payment dispute suspends Pro. If something is wrong with a charge, please contact us first; we would rather fix it.
• Deleting your account cancels your subscription immediately, with no proration or refund of the current billing period. You can still ask for a refund as described below.
• Price changes: we will email you at least 30 days before any price change takes effect. You can cancel before it applies.
• Refunds: if something went wrong, contact us through our contact form. Refunds of the current billing period may be granted at our discretion on reasonable request. Nothing in these Terms limits any refund or cancellation rights you have under applicable law.

8. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, algorithms, software, and the underlying data models — are the exclusive property of Verd or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. This license does not include the right to copy, modify, distribute, or reverse-engineer any aspect of the Services.

9. Your Content

You keep ownership of the information you provide through our Services, such as your health profile, the claims and medications you track, your chat messages, and documents you upload. You grant Verd a limited license to host, store, and process that information solely to provide the Services to you. We handle it as described in our Privacy Policy and Consumer Health Data Privacy Policy. You are responsible for having the right to share anything you submit.

10. Third-Party Services

The Services link to and rely on services we do not own or control, such as HealthCare.gov and state marketplace websites, insurers' websites, and Stripe for payments. Their own terms and privacy policies govern your use of them, and we are not responsible for their content, availability, or actions.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VERD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY INFORMATION THEY PROVIDE IS ACCURATE, COMPLETE, OR CURRENT, INCLUDING COST ESTIMATES AND PLAN RANKINGS, SUBSIDY AND ELIGIBILITY ESTIMATES, DEADLINES SHOWN BY ANY TOOL, AND AI OUTPUT.

Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Verd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or savings.
• Costs incurred from insurance decisions made based on our estimates or rankings.
• Errors or inaccuracies in cost projections or plan comparisons.
• Loss of data or unauthorized access to your account.
• Service interruptions or downtime.

Our total liability to you for any claims arising from or related to the Services shall not exceed the greater of (a) the amount you paid to Verd in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the limitations above may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Verd and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Services.

14. Termination

You may stop using the Services at any time. You can delete your account from the dashboard (the Delete my account card on the Plan Details tab), which deletes your data as described in our Privacy Policy and cancels any subscription as described in section 7.

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice. If we terminate a paid subscription without cause, we will refund the unused part of the current billing period. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

15. Changes to These Terms

We may modify these Terms. If a change is material, we will tell you at least 14 days before it takes effect, by email to the address on your account or by a notice in the Services, and we will post the updated Terms here with a revised effective date. Other changes take effect when posted. If you keep using the Services after a change takes effect, the updated Terms apply to you; if you do not agree to them, stop using the Services and delete your account.

16. Disputes and Governing Law

If you have a dispute with Verd, or we have one with you, the party raising it will first send the other a written notice describing the dispute and the relief sought — to us at support@verdhealth.com or the postal address in section 20, and to you at the email address on your account. We will both then try in good faith to resolve it informally for 60 days before either of us files a claim. To the extent the law allows, any deadline for filing a claim is paused during those 60 days.

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms that are not resolved informally shall be resolved in the courts of competent jurisdiction in the State of Nevada.

17. Electronic Communications

You agree that we may send you notices, disclosures, and other communications about the Services electronically, by email to the address on your account or within the Services, and that these satisfy any legal requirement that such communications be in writing. You can keep a copy by printing or saving them.

18. General

• Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of all or part of our business.
• No waiver. If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
• Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our service providers, internet or power failures, natural disasters, or acts of government.
• Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and Consumer Health Data Privacy Policy, constitute the entire agreement between you and Verd regarding your use of the Services and supersede any prior agreements or understandings.
