2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. 6. Subscription & Billing

Free Tier

Our free consulting tier provides a one-time personalized plan recommendation and cost estimate at no charge.

Pro Subscription

Verd Pro is a paid subscription service that provides ongoing consulting features including deductible tracking, smart timing alerts, prescription cost monitoring, and more. By subscribing to Verd Pro, you agree to pay the applicable subscription fees as displayed at the time of purchase.

• Subscriptions are billed on a monthly recurring basis.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We reserve the right to modify subscription pricing with 30 days' advance notice.

7. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, algorithms, software, and the underlying data models — are the exclusive property of Verd or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. This license does not include the right to copy, modify, distribute, or reverse-engineer any aspect of the Services.

8. User Content

By providing information through our Services (such as your health profile, claims data, and medication information), you grant Verd a limited license to use this information solely for the purpose of providing and improving our consulting services. 9. Limitation of Liability

To the fullest extent permitted by applicable law, Verd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Costs incurred from insurance decisions made based on our recommendations.
• Errors or inaccuracies in cost projections or plan comparisons.
• Loss of data or unauthorized access to your account.
• Service interruptions or downtime.

Our total liability to you for any claims arising from or related to the Services shall not exceed the amount you paid to Verd in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Verd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of the Services after any modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Verd is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in that state.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verd regarding your use of the Services and supersede any prior agreements or understandings.
